Terms of Use

CEROSK INC.  ·  LAST UPDATED: AUGUST 16, 2026

At Cerosk, our mission is to help construction businesses find the right opportunities at the right time. We build tools that turn publicly available municipal data into actionable intelligence for contractors, suppliers, and developers across Canada.

These Terms of Use apply to your use of the Cerosk platform and any associated services (collectively, "Services"). By using our Services, you agree to these Terms. Our Privacy Policy explains how we collect and use your data — it is a separate document you should also read.

Who can use Cerosk

You must be at least 18 years old and authorized to bind the organization on whose behalf you are registering. Cerosk is a business platform — it is not intended for personal or consumer use.

You are responsible for keeping your account secure and for all activity that occurs under your account. If you believe your account has been compromised, contact us at support@cerosk.com immediately.

What you can do

Subject to these Terms, you may access and use the Services to discover and evaluate construction opportunities for your organization's internal business purposes.

What you cannot do

  • Use the Services for any unlawful purpose or in violation of any applicable law
  • Scrape, copy, redistribute, or resell any data, scores, or intelligence from the platform without our written consent
  • Use automated means — bots, crawlers, scripts — to extract data from the platform
  • Attempt to reverse-engineer, decompile, or discover the source code, models, or algorithms underlying the Services
  • Interfere with or disrupt the platform's infrastructure or security
  • Share your account credentials with any other person. Each seat is licensed to a single named user. Sharing access, allowing concurrent use by multiple individuals, or any other form of credential sharing is a material breach of these Terms and may result in immediate termination of your account and application of additional per-seat fees at Cerosk's discretion
  • Use the platform to target, harass, or profile any individual identified in municipal records
  • Misrepresent your identity or organization

The data we provide

Cerosk surfaces construction opportunities derived from publicly available municipal open data — development applications, building permits, and planning filings. This data is published by third-party government entities. We process and enrich it automatically to produce structured opportunity records.

You understand and agree:

  • Opportunity data may be incomplete, outdated, or inaccurate — municipal records are published by governments we do not control
  • Derived data — including stage, size, activity, and revenue estimates — is computed automatically and may not reflect actual conditions
  • Revenue estimates are calculated using your organization's own inputs and are not financial, investment, or professional advice of any kind
  • You are solely responsible for independently verifying any opportunity before taking commercial action
  • Cerosk provides signal intelligence — not confirmed project data

Our intellectual property

Cerosk and its affiliates own all rights, title, and interest in the Services, including the platform design, scoring algorithms, and derived intelligence. Nothing in these Terms transfers any intellectual property rights to you.

Underlying municipal records remain the property of the originating municipalities and are published under their respective open data licences.

Feedback

If you share feedback or suggestions about the Services, we may use it without restriction or compensation to you.

Fees and payment

Cerosk offers free and paid subscription plans. Paid plans are billed through our payment processor, Stripe.

Billing
When you subscribe to a paid plan, you authorize Cerosk to charge your payment method at the start of each billing period. You must provide accurate and complete billing information.
Auto-renewal
Paid subscriptions renew automatically at the end of each billing period at the then-current rate. You will be charged unless you cancel before the renewal date.
Cancellation
You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period. You will retain access to paid features until then.
Refunds
Payments are non-refundable except where required by applicable law. If you cancel mid-period, you will not receive a partial refund for unused time.
Failed payments
If your payment cannot be processed, we may suspend access to paid features until payment is resolved.
Price changes
We may change subscription prices from time to time. Any price change will be communicated with at least 30 days' advance notice and will take effect on your next renewal, giving you the option to cancel before it applies. Promotional or launch rates apply for the stated promotional period only and are not a permanent price guarantee.

Termination

You are free to stop using the Services at any time. You can delete your account from your account settings.

We may suspend or terminate your access if:

  • You breach these Terms
  • We are required to do so by law
  • Your use of the Services could cause harm to Cerosk, other users, or anyone else

Where possible, we will give you advance notice before terminating your account.

Force majeure

Cerosk is not liable for any failure to perform its obligations due to causes beyond our reasonable control, including acts of God, natural disasters, pandemic, war, government action, internet outages, or third-party infrastructure failures. If such an event continues for more than 30 days, either party may terminate the Services by written notice without liability.

Disclaimer of warranties

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, CEROSK DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY OPPORTUNITY DATA WILL BE ACCURATE, COMPLETE, OR TIMELY.

YOUR USE OF THE SERVICES AND ANY COMMERCIAL DECISIONS MADE ON THE BASIS OF PLATFORM DATA ARE ENTIRELY AT YOUR OWN RISK.

Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, CEROSK'S TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO THESE TERMS OR YOUR USE OF THE SERVICES SHALL NOT EXCEED THE GREATER OF: (A) THE EQUIVALENT OF ONE (1) MONTH OF FEES PAID BY YOU IMMEDIATELY PRECEDING THE CLAIM (FOR ANNUAL PLANS, ONE MONTH IS CALCULATED AS THE TOTAL ANNUAL FEE DIVIDED BY 12), OR (B) CAD $100.

IN NO EVENT WILL CEROSK BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOSS OF PROFITS, REVENUE, BUSINESS OPPORTUNITY, OR DATA — EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

ANY CLAIM AGAINST CEROSK MUST BE BROUGHT WITHIN ONE (1) YEAR OF THE DATE THE CLAIM AROSE OR IT IS PERMANENTLY BARRED.

Indemnity

If you are a business, you will indemnify and hold harmless Cerosk and its personnel from any costs, losses, liabilities, and expenses arising from your use of the Services or any violation of these Terms.

Dispute resolution

We would like to resolve any concerns before formal legal action. If you have a dispute, contact us at support@cerosk.com and we will try to resolve it informally within 30 days.

If unresolved, disputes will be submitted to binding arbitration administered by the ADR Institute of Canada (ADRIC) under its Arbitration Rules, conducted by a single arbitrator in Toronto, Ontario, in English, under the Arbitration Act, 1991 (Ontario). The arbitrator's decision is final and binding.

Nothing prevents either party from seeking injunctive relief in a court of competent jurisdiction to prevent irreparable harm.

General

  • Governing law — these Terms are governed by the laws of the Province of Ontario and the federal laws of Canada
  • Entire agreement — these Terms and our Privacy Policy are the entire agreement between you and Cerosk regarding the Services
  • Changes — we may update these Terms from time to time. We will give you at least 30 days' notice of material changes by email or in-platform notice. Continued use after the effective date means you accept the updated Terms
  • No waiver — our failure to enforce any provision is not a waiver of our right to do so later
  • Severability — if any provision is found unenforceable, the remaining provisions continue in full force
  • Assignment — you may not assign your rights under these Terms without our consent. Cerosk may assign these Terms in connection with a merger, acquisition, or sale of assets
